Business Change | What we do

We assist our clients in company administration, making sure documentation and procedures are completed before key personnel can begin their duties, as follows:

Changes in beneficial ownership
Beneficial owners must not become involved in an Isle of Man licensed gambling operation until the Gambling Supervision Commission has conducted and concluded its diligence checks. All changes in ownership, including any change in the beneficial ownership of more than 5% of share capital, must be notified to the Commission, who may apply additional percentage shareholding thresholds to determine the nature of the checks that are required.

Changes in designated official or operations manager
New designated officials and operation managers must not commence their duties until they have been approved by the Commission.

Changes in directors
All directors of an operation must be approved by the Commission before they commence their duties.

Transfer of Licence
The Commission can, on an application by the holder of a licence, transfer the licence to a person specified in the application (section 9(4), Online Gambling Regulation Act 2001).
